Paralegals are a critical part of DLA Piper’s client service teams, working side by side with lawyers, co-counsel and clients on an array of substantive client matters. Many of our paralegals are career professionals, and work both independently and on teams, locally, nationally and globally.

The paralegal team itself includes Case Assistants, Paralegals, Senior Paralegals and Paralegal Specialists. Minimum Requirements:

  • Bachelor'sdegree and/or Paralegal Certificate

  • 4years of Corporate Paralegal experience in a law firm, corporation, orprofessional services environment

  • Experiencepreparing and filing a variety of corporate legal documents (Articles ofIncorporation/Organization, Amendments, state qualifications, consents,merger documents, closing binders, electronic closing sets, initial draftsor certificates, short-form closing deliverables, and filing annualreports)

  • Detail-orientedand self-motivated

  • Proficientin Microsoft Word, Excel, Outlook, and PowerPoint

  • Strongattention to detail and ability to handle large volumes of work

Preferred Requirements:

  • Large lawfirm experience.

  • Experiencewith international transactions.

  • Someflexibility of schedule for completion of critical assignments.

  • Abilityto work at client location when necessary.

What will your day look like?

You will be responsible assisting the International Corporate Reorganization team in Boston (and other offices as necessary) with the execution of Legal Micro-Step Plans. This would be generally based on precedents in any given jurisdiction regarding specific activities such as: the formation of holding companies, the contribution of shares in exchange for shares, the sale and purchase of shares, the distribution of shares as dividends, the settlement of debt instruments within group companies, the liquidation of entities worldwide, intangible property transfers, opening of branch offices, conversion of entities to different legal status, merger of entities within a jurisdiction, confirmation of financial statements, changes of directors and officers, and the drafting and authorization of board resolutions for entities located anywhere in the world.

You may further be required, in some cases, to assist in the drafting of the Legal Micro-Step Plan, preparing budgets for each of the countries and steps involved, and updating the Legal Micro-Step Plans on a regular basis, based on feedback from the client or the information provided by the DLA Piper attorneys worldwide. Please note that these step plans are prepared in Excel and as a result, skill in using Excel is critical.

You will also be responsible for researching, preparing and filing documents and other materials to be filed with various government agencies, such as Articles of Incorporation/Organization, and annual accounts. Additional activities would include, managing data rooms and matter files, coordinating execution and delivery of documentation to other parties’ counsel, lenders, or governmental agencies, including closing documentation. You will also develop, monitor and update closing checklists or closing binders.
